30 April 2009 – MMIK, kecuali VKS dan HK, dengan menggunakan baju berwarna merah berangkat dari Jakarta jam 06.55 dengan Malaysia Airlines. Sedangkan VKS dan HK yang baru selesai dinas berangkat ke Kuala Lumpur dari Palembang jam 16.30 dengan Air Asia. Selain HK dan VKS, seluruh peserta langsung menjelajah Kuala Lumpur, KLCC, Pasar Seni, Bukit Bintang, dll. VKS dan HK begitu tiba di Kuala Lumpur langsung menuju Pasar Seni, SHOPPING!!!

1 Mei 2009 – We were going to Genting Highland. Berangkat dari apartemen jam 11.00, naik LRT ke KL Sentral trus lanjut dengan bis ke Genting.Tiba di Genting naik Skylift menuju Genting Highland. Seharian main di Genting Theme Park, tapi sayang cuma main 2 permainan, secara ngantrinya panjang banget tapi tetep seru siy,,secara yang dimainin membutuhkan adrenalin tinggi…very cool…

Pulang dari Genting jam 22.30 waktu setempat, mampir dulu di Nasi Kandar deket KLCC..makan tengah malam,,hmm yummy,,,

2 Mei 2009 – Ini yang paling seru,,,semuanya dengan pake baju warna-warni pusing-pusing di Kuala Lumpur dan Putra Jaya. Turis-turis yang lain sampe nanya gini: “where did you buy your attire? It’s very nice” tentu saja dengan bangganya kami menjawab: “We bought this in BALI, INDONESIA”. Saking serunya MMIK, sampe ada turis yang pingin ikutan foto sama MMIK, dikira MMIK salah satu obyek wisatanya Kuala Lumpur??

Selesai City Tour and Putra Jaya Tour, lanjut ke Sunway Lagoon, tapi di Sunway ga lama. VKS, SKD, DSK, HJ, Bang Uhe, ICS, Mba Endri, dan Aan nglanjutin shopping di Sunway. Marga, Tessa, Harris, dan Erika nglanjutin perjalanan entah kemana, Mas Omar balik ke apartemen, kayaknya siy mw ngym, Riri, Hayu dan Mas Adit balik ke KLCC, nonton Wolverine di TGV KLCC.

Jam 23.00 waktu setempat, we were going to Hard Rock Kuala Lumpur..have fun go mad,,,tapi tetep no liquor…minumnya OJ, Coke, and Fruit Punch..hehehe..

3 Mei 2009 – VKS, ICS, DSK, Bang Uhe, Mas Omar, Marga, dan Harris pulang ke Jakarta jam 9.55. SKD, HJ, Mba Endri, HK, and Tessa, were doing their last minutes shopping @ KLCC and Bukit Bintang. Erika, Riri, Aan, dan Mas Adit packing @ apartemen. We were departing from Kuala Lumpur at 16.30 local time.

Did you know? God Al Mighty say yes to my wish on the last minute in KL…I think His hand is working all along the way…thank you God semoga permintaan yang lain terkait dengan permintaanku yang dikabulkan juga turut dikabulkan.

After spending two weeks in Surabaya, I’m back to Jakarta. Hmm, Surabaya made me a bit darker and fatter. It’s hot and have a lot of delicious traditional culinaries, i.e. Tahu Tek, Tahu Campur, Ayam Presto Telor Asin, Ayam Bakar Presiden.

Me and my team did legal audit on one of State-Owned company domiciled in Surabaya for two weeks. The head office is in Ujung Surabaya. We can see Madura Island and Suramadu Bridge from its office.

To be frank, I’m proud of them, many foreigners trust this company to build them Star 50. Their shipyard is home for Star 50, a 50,000 DWT ship. Unfortunately, not many Indonesian put more trust in this company like the foreigners do. I belief this company would be the largest shipyard company in the world if Indonesian trust this company to build their ship.

Pursuant to Article 1413 Indonesian Civil Codes, novation arises in the following three circumstances: (i) if a debtor, on behalf of his creditor, executes a new contract of indebtedness, in substitution for the original one, which shall then be nullified, (ii) if the previous debtor who has been released from his contract by the creditor is substituted by a new debtor, or (iii) if, pursuant to a new contract, a new creditor replaces the previous creditor, in respect of whom the debtor shall be released from his contract. In English law the term is scarcely naturalized, substitution of a new contract called a merger and substitution of a new debtor or creditor being generally called an assignment. Novation by substitution of a creditor is the complete transfer of the rights to receive the benefits accruing to one of the parties to that contract. For example, if I had a contract with you to lend you USD 100.00 and if John had a contract with me to lend me USD 100.00, we could novate both contracts and replace it with a single contract wherein you agree to lend USD 100.00 from John. A novation must be agreed upon by all the parties to the original agreement. It is a tripartite negotiation which generates a new contract to replace the previous creditor with a new creditor. Since novation is generating a new contract which supersedes the previous contract, thus terms and conditions in the previous contract are not automatically becoming terms and conditions in a new contract unless the parties are mutually agree to endorse such terms and conditions in a new contract.

On the other hand, subrogation is the legal technique by which one party, commonly an insurer (I-X) of another party (X), steps into X’s shoes, so as to have the benefit of X’s rights and remedies against a third party such as a defendant (D). Subrogation is similar in effect to novation, but unlike novation, subrogation can occur with or without any agreement between I-X and X to transfer X’s rights. Subrogation most commonly arises in relation to policies of insurance, but the legal technique is of more general application. Using the designations above, I-X, the party seeking to enforce the rights of another, is called the subrogee. X, the party whose rights the subrogee is enforcing, is called the subrogor. In each case, because I-X pays money to X which otherwise D would have had to pay, the law permits I-X to enforce X’s rights against D to recover some or all of what I-X has paid out. A very simple and common example of subrogation would be as follows: suppose X is in a car accident and it is clearly not his fault. His car is wrecked and his neck and back have been injured. X is covered for both the damage to his car and his personal injuries, and so X call I-X, his insurance company and I-X pays all of X’s expenses relating to the accident. Later, I-X sues D for negligence to recoup some or all of the sums paid out to X. I-X receives the full amount of any amounts recovered in the action against D up to the amount to which I-X indemnified X. X retains none of the proceeds of the action against D except to the extent that they exceed the amount that I-X paid to X.

When novation and subrogation terminate the previous contract for one second before replace it with a new contract, cessie does not terminate the previous contract although for one second yet the contract shall be transferred to the new creditor. Cessie is the delivery of claims by name. This waiver of a claim on the name is listed as transferor, the transferee is called assignee and the debtor of the claim is often marked with debtor cessus or simply cessus. For example, Mr. X has a customer, Mrs. Y, which does not pay its account. Mr. X has a claim on the name against Mrs. Y and has the opportunity to sell that claim to Mr. Z. Mr. Z will pay Mr. X a certain price in the amount which may be less than the original amount. From that moment, Mrs. Y do not have debt to Mr. X, but to Mr. Z. In that scheme, Mr. Y is the transferor, Mr. Z is the assignee, and Mrs. Y is the debtor cessus. In contrast to a novation, a cessie must not be agreed upon by all the parties to the original agreement, but the debtor cessus has to be notified. Pursuant to Article 613 of Indonesian Civil Codes, such transfer shall have no consequences with respect to the debtor cessus, until he has been notified thereof, or if he has accepted the transfer in writing or has acknowledged it.

After the abovementioned discussion, the following items are differentiating novation, subrogation and cessie from one to another in relation with the ability for renewing obligation by substitution of a creditor:

1. Novation is being done in tripartite negotiation which generates a new contract to replace the previous creditor with a new creditor. Since novation is generating a new contract which supersedes the previous contract, thus terms and conditions in the previous contract are not automatically becoming terms and conditions in a new contract unless the parties are mutually agree to endorse such terms and conditions in a new contract.

2. In subrogation, the obligation is paid by the new creditor therefore subrogation terminate the previous contract for one second before replace it with a new contract. Such transfer is being done by subrogee without the subrugor participation.

3. In cessie, the transferor sells the claim to the assignee for a certain price in the amount which may be less than the original amount. The agreement shall not be terminated although for one second, nevertheless it shall be transferred to the new creditor. Although such transfer is being done without the debtor cessus participation, such transfer shall have no consequences with respect to the debtor cessus, until he has been notified thereof, or if he has accepted the transfer in writing or has acknowledged it.

My goal is loss 2-3 inches of my waist. This morning my waist is 34 inches (the ideal waist for women is 32 ½ inches). Hopefully on the fourteenth day I will reach my goal. All I have to do to reach my goal are walking, stretching, and eating. So, I will updated the news on this program soon..
